PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THESE TERMS GOVERN YOUR ACCESS TO AND USE OF THE WEBSITE LOCATED AT RATIOTECH.COM AND ITS SUBDOMAINS (THE "SITE") OPERATED BY RATIO TECHNOLOGIES, INC. ("Ratio", "we", "us", "our"), INCLUDING ANY CONTENT, TOOLS, FORMS, AND TEXT MESSAGING PROGRAMS MADE AVAILABLE THROUGH THE SITE. BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SITE.

Use of the Ratio platform, products, and financing services by customers is governed separately by the applicable customer agreement, including the Ratio Customer Agreement. If there is a conflict between these Terms and a signed agreement between you and Ratio, the signed agreement controls with respect to the services it covers.

1. Who we are

Ratio Technologies, Inc. is a Delaware corporation. The Site describes Ratio's products and services, publishes educational content, and lets you request a demo, contact our team, download resources, and manage your communication preferences. 2. Eligibility

The Site is intended for business use by individuals who are at least 18 years old. By using the Site you represent that you meet this requirement and that, where you act on behalf of a company, you are authorized to bind that company to these Terms.

3. Acceptable use

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of the Site by, anyone else. You may not: (a) copy, scrape, crawl, or otherwise extract Site content by automated means without our written permission; (b) attempt to gain unauthorized access to the Site, its servers, or any connected system; (c) introduce viruses, malware, or other harmful code; (d) submit false, misleading, or fraudulent information through any form; (e) impersonate any person or entity; or (f) use the Site to send unsolicited communications.

4. Forms and information you submit

When you submit a form on the Site (for example, to book a demo, contact us, download a report, or use a calculator), you agree to provide accurate and current information. By providing a business email address or phone number you consent to Ratio contacting you about your request and about Ratio's products and services, subject to the opt-out mechanisms described in these Terms and in our Privacy Policy. Information you submit is handled in accordance with our Privacy Policy.

5. SMS / text messaging program

5.1. Program description.

Ratio offers an SMS text messaging program (the "Program") to individuals who provide a mobile phone number and expressly consent to receive text messages from Ratio, for example by checking a consent box on a Site form, by replying to a message, or by opting in within a Ratio product. Messages are sent by or on behalf of Ratio using the brand name Ratio.

5.2. Types of messages and their purpose.

Depending on how you opted in, Program messages may include: (a) conversational and customer-care messages, such as responses to a demo or contact request, scheduling and meeting reminders, and follow-ups from the Ratio team; (b) account and transactional notifications for Ratio platform users, such as proposal and payment confirmations, service notifications, security alerts, and updates on the status of a request; and (c) informational updates about Ratio products, features, and content where you have separately agreed to receive them. Ratio does not send marketing text messages to anyone who has not expressly opted in to receive them.

5.3. Message frequency.

Message frequency varies based on your interactions with Ratio and the type of messages you opted in to receive. Recurring messages may be sent. As a guide, most recipients receive up to 4 messages per month, although frequency may be higher during an active conversation with our team or while a transaction is in progress.

5.4. Message and data rates.

Message and data rates may apply. Standard messaging rates from your wireless carrier will apply to messages you send and receive. Check with your carrier for details about your plan.

5.5. How to opt out (STOP).

You can cancel the Program at any time. Text STOP to the number from which you received a message and we will send you a single confirmation message and then stop sending you texts from that number. If you want to rejoin, text START to the same number or opt in again through the Site. You may also opt out by emailing support@ratiotech.com. Opting out of one Program does not opt you out of other Ratio communication channels, and Ratio may still send you a text where required to service an existing transaction or by law.

5.6. How to get help (HELP).

If you are experiencing issues with the Program, text HELP to the number from which you received a message for assistance, or contact us directly at support@ratiotech.com.

5.7. Supported carriers and delivery.

The Program is available on major U.S. carriers. Carriers are not liable for delayed or undelivered messages. Ratio is not responsible for delays, failures, or errors in message delivery caused by your carrier, device, or network.

5.8. Your mobile information.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties, except with vendors that help us deliver the Program and only for that purpose. See our Privacy Policy for details.

5.9. Number changes.

If you change or deactivate the mobile number you used to opt in, you agree to notify us at support@ratiotech.com or opt in again with your new number, so we do not send messages to the previous number's new owner.

6. Intellectual property

The Site and its content, including text, graphics, logos, images, videos, software, and the Ratio name and marks, are owned by Ratio or its licensors and are protected by copyright, trademark, and other laws. You may view, download, and print Site content for your own internal business evaluation of Ratio. You may not otherwise reproduce, distribute, modify, or create derivative works from Site content without our prior written consent.

7. Third-party links and content

The Site may contain links to third-party websites and services. Ratio does not control and is not responsible for the content, privacy practices, or availability of those third parties. Links are provided for convenience and do not imply endorsement.

8. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Content on the Site, including calculators, reports, and articles, is for general informational purposes only and does not constitute financial, legal, or tax advice or an offer or commitment to provide financing.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RATIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RATIO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

10. Indemnification

You agree to indemnify and hold harmless Ratio and its affiliates from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your violation of these Terms or your misuse of the Site.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any dispute arising out of these Terms or the Site that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time by posting a revised version on the Site and updating the "Last update" date above. Changes take effect when posted unless otherwise stated. Your continued use of the Site after a change means you accept the revised Terms.
